LEADMYEVENT TERMS &CONDITIONS

1. WHO WE ARE

 

1.1. The website located at www.leadmyevent.com, www.leadmyevent.co.uk and any other domain,

website and/or mobile application or other means through which we may provide Our Services (defined below) from time to time ("LeadMyEvent" or the "Platform") is operated by Leadmyevent Limited trading as "Leadmyevent" ("We"/"Us"/"Our").

 

1.2. We are a company registered in England and Wales with company number 12335639 and have our registered office at Leadmyevent Ltd, 71-75 Shelton Street, London, Greater London, United Kingdom, WC2H 9JQ.

 

2. WHAT WE DO

 

2.1. Leadmyevent is an online platform that connects people and organisations who supply services for events. This website is available for use to people and organisations seeking services via the Platform and facilitating the formation of an agreement between such parties.

 

2.2. Platform visitors and users ("User"/"You"/Your") may access certain areas of Leadmyevent without registering as a Member. However, other areas of Leadmyevent are open only to registered Members (defined below).

 

2.3. Users and Members agree to comply with the terms and conditions set out in this document ("Terms") when accessing, using or receiving the provision of Leadmyevent and/or Services.


2.4. These Terms govern any communication and dealings between: (1) Us and Users; (2) Us and Suppliers; and (3) Users and Suppliers.


2.5. If You do not agree to the Terms, You must not use or attempt to use Leadmyevent or Services.

 

2.6. The contract entered into between You and Us in respect of Your use of Leadmyevent and the Services is formed from the time at which You first access Leadmyevent.



3. KEY DEFINITIONS


3.1. "Account" means a Member's registered account and profile.

 

3.2. “Advertised Price” means the amount advertised on the Service Listing on the Platform, emails or other digital or printed media and indicates the total price, payable by the Event Organiser, including any applicable taxes, any Payment Processor fees or charges and the Leadmyevent Commission Leadmyevent Commission should be 10% of the minimum price and under no circumstances added at additional cost to the organiser.



3.3. "Agreement" means a contract entered into between a Service Supplier and an Event Organiser through Leadmyevent and the Services listed for the hire of a Service which shall incorporate the applicable Listing and the terms of the applicable Service Supplier Offer. The term Agreement may also be referred to interchangeably as a "Booking".



3.4. "Content" means text, graphics, images, software, audio, video, information or other material or content uploaded to, displayed on or exchanged through or otherwise made available on or via Leadmyevent and/or the Services.


3.5. Controller, processor, data subject, personal data, personal data breach, processing and appropriate technical and organisational measures: as defined in the Data Protection Legislation.

 

3.6. "Data Protection Legislation" means the UK Data Protection Legislation and any European Union legislation relating to personal data and all other legislation and regulatory requirements in force from time to time which apply to a party relating to the use of personal data (including, without limitation, the privacy of electronic communications).

 

3.7. "Event Organiser" shall have the meaning set out above. An Event Organiser must be a registered Member.

 

3.8. "Listing" means a Service profile listed on Leadmyevent by a Service Supplier describing details of the Service  including its location, specification, price and availability (and "List" and "Listed" shall be interpreted accordingly).

 

3.9. "Member" means a User of Leadmyevent who completes and maintains an Account registration. A Member may act in the capacity of either an Event Organiser or a Service Supplier from time to time ("Membership" shall be constructed accordingly) and where the context dictates, Members may be referred to in these Terms as ("User"/"You"/Your").



3.10. "Member Content" means Content made available by a user, or a Member to us or to other users and/or Members through Leadmyevent (by posting, uploading, publishing, messaging, submitting, transmitting or otherwise).

 

3.11. "Payment Processor" means a third party online payment processor whom We may appoint from time to time to collect, process and remit such payments as are required for the operation of the Platform. A reference under these Terms to a payment to or from us shall be deemed to include a payment to or from (as applicable) Our nominated Payment Processor(s) on Our behalf. Our nominated Payment Processors are Stripe (www.stripe.com) and PayPal (www.paypal.com) for debit/credit card payments.

 

3.12. "Services" shall have the meaning set out in clause 2.1 above and, where applicable, shall include any relevant Subscription Services.

 

3.13. "Total Booking Fee” means the amount agreed by the Venue Host and Event Organiser under an Agreement and includes the Venue Hire Fee plus the Leadmyevent Commission and any applicable taxes and, where applicable, any Payment Processor fees or charges.

 

3.14. "Service Hire Fee" means the amount which is payable to the Service Supplier for use of the Services under an Agreement, net of Leadmyevent Commission, plus any applicable taxes and, where applicable, any Payment Processor fees or charges.


3.15. "Service Supplier" shall have the meaning set out in clause 2.1 above. A Service Supplier must be a registered Member.

 

3.16. "Service Offer" means an offer from an Event Organiser to a Service Supplier setting out the terms on which the Event Organiser is willing to hire the applicable Service supplier and the Total Booking Fee. The term Venue Offer may also be referred to interchangeably as an "Enquiry".

 

3.17. "Leadmyevent Commission" means the amount to which Leadmyevent is entitled to receive in consideration of Our provision of the Services (plus any applicable taxes) which is either: (a) payable by the Service Supplier to Us through the Invoice Payment Method; (b) deductible by Us in payment to the Service Supplier through the Direct Payment Method; or (c) would have arisen in respect of the Services but for a breach of clauses 17.1, 17.2 or 17.3.

 

3.18. "Leadmyevent Content" means Content made available by or on behalf of us on or via Leadmyevent or in the provision of the Services (by posting, uploading, publishing, messaging, submitting, transmitting or otherwise), including, any third party Content, but excluding Member Content.


3.19. “LME Direct / LME Invoice Payment Method” means the method selected by the Service Supplier for completing payment against a given Agreement whereby the two options comprise: (1) “LME Direct” when Leadmyevent takes part or full payment of the Total Booking Fee for an Agreement from the Event Organiser and remits part or full payment of the Service Hire Fee to the Service Supplier, net of Leadmyevent Commission or (2) “LME Invoice” when the Service Supplier takes payment for the full Total Booking Fee for an Agreement from the Event Organiser and remits the Leadmyevent Commission to Us.




4 REGISTERING YOUR MEMBERSHIP ACCOUNT

 

4.1 Users wishing to access certain features of Leadmyevent and the Services, such as making a Listing, send an enquiry, making a Service Offer or an Agreement, writing a Service review or giving a rating, must create and register an Account.

 

4.2 All Members creating an Account warrant and represent that any information provided as part of the Account registration process and any Member Content is, and will be at all times during the term of the Membership, accurate, complete and up to date.


4.3 Members are responsible for maintaining the security of their Account details (including, without limitation, their username and password) and shall treat such details as confidential and must not disclose them to any third party. If You know or suspect that anyone other than You knows Your Account details, You must promptly notify us at info@Leadmyevent.com.

 

4.4 We reserve the right to restrict Members from registering more than one Account or registering for an Account on behalf of any person other than such Member without express authority and, where necessary, We reserve the right to make further 'customer due diligence' enquiries and/or implement further controls and monitoring systems in respect of relevant Account registrations or attempted registrations.


4.5 We have the right at any time to disable any Member's username or password, whether chosen by You or allocated by us, if, in Our reasonable opinion, You have failed to comply with any of the provisions of these Terms or any provision referred to or incorporated into these Terms or failed to comply with the Acceptable Use Policy or if You breach the applicable response-time service levels as notified to You from time to time and are laid out below. In all cases Venues will be informed before being removed from the platform.


4.6 As a registered Member, You agree to comply with the terms and conditions governing the use of Our Payment Processor's service from time to time in force, as required, to the extent that they apply to You.


4.7 Leadmyevent reserves the right to terminate a Member for any chargeback or declined payment authorisations.


4.8 You must be at least 18 years old to register a Leadmyevent Account.


4.9 Each Member is responsible for all actions taken by or through their respective Account.


 

5 AUTHORITY


5.1 Each Member warrants and represents that You have authority to use Leadmyevent and the Services, make available Member Content, List Services and enter into Agreements on or via the Platform and/or the Services and otherwise access and make use of the Platform and the Services.


5.2 Where You agree to these Terms and an applicable Agreement for or on behalf of another person, company, partnership, organisation, group, association or other entity ("represented person") You warrant and represent that You have the authority to bind that represented person to these Terms and any applicable Agreement, and in such circumstances, a reference to "Member", "You", "Your" and "User", any reference to an Account and/or any warranties, representations, statements, promises, acts or omissions of You are deemed to apply equally to such represented person who shall be and shall remain responsible and liable for the same under these Terms.



 

6 SERVICE SUPPLIERS AND CREATING LISTINGS

 

6.1 As a Service Supplier, You may create a Listing for a Service.

 

6.2 Service Suppliers may communicate with Event Organisers through Leadmyevent’s messaging application and the Services, where instigated by an Event Organiser.

 

6.3 Service Suppliers acknowledge and agree that You are responsible for any Listing created via Your Account or linked to Your Account and accordingly You warrant and represent that, in creating and maintaining any Listing: (i) You have the unfettered right to create the Listing and offer, take and provide bookings for the Services on the dates and for the periods set out in the Listing; (ii) the Listing does not breach any agreement You have entered into with any third party; and (iii) the Listing is accurate, complete and up to date.

 

6.4 A Service Supplier may amend, update or withdraw a Listing at any time prior to entering into an Agreement on the basis of such Listing and subject always to Our Listings approval process. Unless otherwise agreed between the Service Supplier and the Event Organiser, Agreements based on a particular Listing shall incorporate that Listing as constituted at the time of the Agreement, notwithstanding any later amendment, update or withdrawal

6.5 Service Suppliers may elect to subscribe to different tiers of the Leadmyevent Membership Subscription Services, which enable the Service Supplier to access enhanced marketing functionality.

 

6.6 Service Suppliers will automatically continue their subscriptions unless a formal written cancellation request is provided with 30 days notice. See clause 14.2



 

7 EVENT ORGANISERS

 

7.1 As an Event Organiser, You may Enquire, Book and pay for a Booking using Leadmyevent and the Services.

 

7.2 Event Organisers may communicate with Service Suppliers through Leadmyevent and the Services.


7.3 As an Event Organiser, You are responsible for satisfying yourself that any Service that You book meets Your requirements and is fit for Your purposes and that the detail of the Agreement is made clear in Your communication with the Service Supplier.

 

7.4 There are two payment options. You may pay online via Leadmyevent’s payment processor. Alternatively, you may pay the Service Supplier directly. 

 

7.5 The prices will be set by the Service Supplier and agreed upon once you contact them or us. 

 

7.6 Once there is an enquiry made by you to any of the Service Suppliers, we will share your profile to the Service Supplier, including your name and contact details for the Service Supplier to follow up and arrange a booking. 

 

 

 

8 SERVICE BOOKING

 

8.1 Any Agreement that a Service Supplier and Event Organiser may decide to enter into by or through Leadmyevent and/or the Services is a contract between those Members and is entered into entirely at the risk of those applicable Members.

 

8.2 We are not a party to any Agreement or any other engagement or contract between Members and users of Leadmyevent and/or the Services.


8.3 Dealings between Members entered into via Leadmyevent and/or the Services or as a result of visits made by You to Leadmyevent’s Platform and/or use made of the Services are governed solely by the terms and conditions of the individual Agreement entered into between Members. We always recommend that both the Service Supplier and Event Organiser understand and adhere fully to the terms and conditions of the Agreement made between both parties.  

 

8.4 These Terms apply to govern the relationship between Us and Our Members to the exclusion of any other terms that You may seek to impose or incorporate, or which may otherwise be implied by trade, custom, practice or course of dealing.

 

8.5 These Terms together with any supplemental document or provisions referred to and incorporated into these Terms constitute the entire agreement between us and Members and users. You acknowledge that You have not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of us which is not set out in or incorporated into these Terms.

 

8.6 You understand and agree that:

       8.6.1 we do not validate, certify or endorse any particular user, Member, Listing or Service or the performance of any Agreement or Booking; and

       8.6.2 Leadmyevent is not responsible for the accuracy or completeness of any Member Content including, without limitation, information and/or materials relating to a Listing, Service or Member.

 

8.7 We do not warrant or represent that:

      8.7.1 any Service Supplier has the right or ability to create a Listing or Offer any Service; or

      8.7.2 the Services listed on Leadmyevent are of a particular condition or standard or in respect of the performance of any Service Supplier of its obligations under an Agreement.

 

8.8 We have no control over and assume no liability on the part of any Service or its use or the conduct of Event Organisers or Service Suppliers (or, in each case, as applicable, their respective staff, representatives, guests or any other person whom You permit to access the Service under an Agreement).


8.9 Once an Event Organiser, has identified a Service that meets Your requirements, You may choose to submit an Enquiry to the Service Supplier via Leadmyevent. If the Service Supplier accepts a Service Offer, or responds positively with a message (through the Platform messaging application, on email, in writing, over the phone or face to face) signalling the intention to accept the Event Offer, the Event Organiser, upon confirmation by return message signalling the intention to complete the booking (through the Platform messaging application on email, in writing, over the phone or face to face) will enter into an Agreement with the Service Supplier on the terms set out in the Service Offer.

 

8.10 Event Organisers shall not cause through its act or commission, suffer or permit the Service Supplier or in each case its or their contents to be damaged and shall be responsible and liable for the acts or omissions of Your staff, representatives, guests or any other person whom You permit to access the Service under an Agreement.


 

9 NO INSURANCE

 

9.1 We do not act as an insurer for users or Members or in respect of any Service or any Agreement.

 

9.2 We recommend that Service Suppliers take out and maintain appropriate insurance in respect of the Service to cover all the risks, which may be incurred by entering into an Agreement with an Event Organiser including in respect of the actions or omissions of an Event Organiser or their representatives, guests and any other person whom You permit to access the Service under an Agreement.

 

9.3 We recommend that Event Organisers take out and maintain appropriate insurance in respect of their Event to cover all the risks, which may be incurred by entering into an Agreement with an Service Supplier including in respect of the actions or comissions of a Service Supplier or any factors outside of the Service Supplier’s control which may require the event to be cancelled (such as weather, lockdown etc)



10 THIRD PARTY PROVIDERS

 

Each Member acknowledges that the Platform and the Services may enable or assist it to access the website content of, correspond with, and utilise products and services from, third parties via third-party websites and that it does so solely at its own risk. Leadmyevent makes no representation, warranty or commitment and shall have no liability or obligation whatsoever in relation to the content or use of, or correspondence with, any such third-party website, or any transactions completed, and any contract entered into by a Member, with any such third party. Any contract entered into and any transaction completed via any third-party website is between the Member and the relevant third party, and not Leadmyevent. Leadmyevent recommends that Members refer to the third party's website terms and conditions and privacy policy prior to using the relevant third-party website. Leadmyevent does not endorse or approve any third-party website nor the content of any of the third-party website made available via the Platform and/or the Services.



 

11 CHARGES AND PAYMENT PROCESSING

  

11.1 The "Total Booking Fee" is the amount which will be payable by the Event Organiser. It is comprised of:

      

      11.1.1 the Service Hire Fee; 

      11.1.1.1 the Leadmyevent Commission, currently set at 10% of the ex VAT Total Booking Fee for a Service Supplier using the LME Direct Payment Method or 10% of the ex VAT Service Hire Fee for a Service Supplier             using the LME Invoice Payment Method; PLUS

      

       11.1.1.2 where applicable, any Payment Processor fees or charges (currently set at 0% of the Service Hire Fee); PLUS

 

      11.1.1.3 where applicable, any applicable taxes on the Service Hire Fee, the Leadmyevent Commission and the Payment Processor fees or charges. Here is a worked example:

      Service Hire Fee £1000 ex VAT / £1200 inc VAT

       Leadmyevent Commission using LME Direct (10% of £1000) £100 ex VAT / £120 inc VAT

       Payment Processor fees / charges £0 ex VAT / £0 inc VAT

       Total Booking Fee £1100 ex VAT / £1320 inc VAT


11.2 The Service Hire Fee applicable to a Booking is determined by the Service Supplier based on the specific terms of the Agreement.

 

11.3 We reserve the right to charge a lower Leadmyevent Commission rate than 10%.

 

11.4 The Leadmyevent Commission will be calculated based on the higher of either (a) the Total Booking Fee detailed in the Agreement; or (b) the final spend incurred by the Event Organiser with the Service in relation to the Agreement.

 

11.5 The Leadmyevent Commission percentage payable under clause 11.6 above will be calculated and due against the Total Booking Fee inclusive of any additional paid services above or paid services used in isolation. If the value of these services is not known at the time of an Agreement, any outstanding Leadmyevent Commission will be collected when the final Total Booking Fee amount is confirmed and finalised.

 

11.6 The Event Organiser agrees to pay the Total Booking Fee applicable for a relevant Agreement.

 

11.7 Members acknowledge that Our payment obligation to Service Supplier is subject to Our receipt in full (whether via the Payment Processor or otherwise) of the Total Booking Fee from the Event Organiser.

 

11.8 Leadmyevent may allow a Service Supplier to vary the Payment Method elected prior to agreeing a Booking with an Event Organiser.

 

11.9 All amounts due to Us from You in connection with Your use of the Services and/or the Platform and/or any Agreement shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).

 

     11.9.1 All amounts due from You to Us in connection with Your use of the Services and/or the Platform and/or any Agreement shall be payable within 14 days of the invoice date or 7 days of the event date, whichever is           later. Statutory interest plus reasonable debt recovery costs in accordance with UK government guidelines will be chargeable on late payments.

 

    11.9.2 Should the Service Supplier not settle Your invoice for more than 30 days past the due date We reserve the right to lock Your account, moved to the bottom of search and have no further access to enquiries until           the  invoice is settled

 

11.11 If payment is owed by a Member to Us, We reserve the right to set-off the amount owed to Us against any amount owed to such Member.

 

11.12 The Service Supplier agrees to pay to Leadmyevent the applicable Subscription Fees in consideration of the provision of the Subscription Services

 


 

12 CANCELLATIONS AND REFUNDS


12.1 A Service Supplier can set their own custom cancellation policy against their Listing.


12.2 If a Member wishes to cancel an Agreement, the cancellation policy of the Service Supplier contained in the applicable Listing will apply to such cancellation, except to the extent where such policy (or part thereof) purports to vary or dis-apply any provision of these Terms.


12.3 Our authority to refund the Service Hire Fee (or part thereof) and other amounts charged to an Event Organiser will depend upon the terms of the applicable Service Supplier's cancellation policy.

 

12.4 In the event of any cancellation by the Event Organiser, 50% of the Leadmyevent Commission (plus VAT) will be retained by or payable to Leadmyevent to cover Our administrative costs. The 50% calculation will be based on the higher of either (a) the Total Booking Fee included in the original offer made by the Event Organiser, (b) the Total Booking Fee quoted by the Host in a message (through the Platform messaging application, on email, in writing, over the phone or face to face), (c) the Total Booking Fee detailed in the Agreement, (d) the Total Booking Fee provided by the Service Supplier or Event Organiser to the Leadmyevent team when they are required to review a cancellation request.


12.5 In the event that insufficient funds have already been paid by the Event Organiser to cover Leadmyevent’s administration costs (set out in clause 12.4 above), a request for payment will be issued to the Event Organiser for the outstanding balance.


12.6 In the event of any cancellation by the Service Supplier, 50% of the Leadmyevent Commission (plus VAT) will be due to Leadmyevent to cover administrative costs. In addition, We reserve the right to publish an automated review on the Service Supplier’s Profile indicating a cancelled Booking, and suspend or terminate the Service Supplier’s Account. A cancellation of a confirmed Booking by a Service Supplier must be made with at least 7 calendar days’ notice. Failure to comply with this 7 day notice (or a cancellation of a booking made for an event date in fewer than 8 days’ time) will result in Leadmyevent charging the Service Supplier the value of double the Leadmyevent Commission. The 50% calculation will be based on the higher of either (a) the Total Booking Fee included in the original offer made by the Event Organiser, (b) the Total Booking Fee quoted by the Host in a message (through the Platform messaging application, on email, in writing, over the phone or face to face), (c) the Total Booking Fee detailed in the Agreement, (d) the Total Booking Fee provided by the Service Supplier or Event Organiser to the Leadmyevent team when they are required to review a cancellation request.

 

12.7 In the event of any cancellation by a Member, We will keep the Total Booking Fee until one working day before the first day of the Booking period at which time Leadmyevent will begin to process any applicable payments to the Event Organiser and / or Service Supplier in accordance with its normal payment policy.

 

12.8 Each Member confirms that payment of the cancellation fees and retentions set out above is and are reasonable and proportionate in order to protect Leadmyevent's legitimate interest in recovering its administrative, management and technical costs in the event of cancellation.



13 WARRANTIES AND LIABILITY


13.1 We warrant that We will at all times operate Leadmyevent and provide the Services with reasonable skill and care and in accordance with these Terms.

 

13.2 We provide You with access to Leadmyevent on the basis that, to the maximum extent permitted by law, and subject always to clause 13.6, We exclude all representations, warranties, conditions and other terms whether express or implied (including, without limitation, any conditions implied by law of satisfactory quality or fitness for purpose) which, but for this clause 13.2, might have effect in relation. to the use, inability to use, provision or results of the use of Leadmyevent and/or the Services, any websites linked to it or any content posted or made available on or via it.

 

13.3 Subject to clause 13.6, We are not liable to any Member or User of Leadmyevent, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection these Terms, the use of Leadmyevent or the provision or receipt of the Services, for any: 

13.3.1 loss of profits;

13.3.2 loss of use or corruption of software, data or information;

13.3.3 loss of sales or business;

13.3.4 loss of anticipated savings;

13.3.5 loss of or damage to goodwill;

13.3.6 loss of revenue;

13.3.7 service interruption;

13.3.8 computer damage or system failure;

13.3.9 the cost of sourcing substitute products or services; or

13.3.10 special, indirect, incidental, exemplary or consequential loss.

13.4 Each Member shall be liable to us in respect of any claims, liabilities, damages, losses suffered by us resulting from:

13.4.1 a Member’s access to or use of Leadmyevent or the Leadmyevent Content in violation of the Terms;

13.4.2 our publication of any Member Content made available by that Member;

13.4.3 the entering into of any Agreement between that Member and another Member;

13.4.4 any visit to or use of a Service, by any person;

13.4.5 a Member’s: (1) interaction with any other Member including use of the messaging application and/or the entering into, performance (or part performance) or termination of an Agreement; (2) the creation of a Listing; or (3) the use or condition of a Service, including, in each case above, but not limited to, any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind whatsoever and howsoever caused.


13.5 Neither us nor any Member or User excludes or restricts in any way their respective liability for death or personal injury resulting from its own negligence or the negligence of its employees or agents acting in the course of their employment or agency or for fraudulent misrepresentation or in respect of any form of liability that may not be excluded or restricted at law.


13.6 Users of Leadmyevent (whether they are registered Members or otherwise) understand and agree that You are solely responsible for compliance with (and shall comply with) any and all laws, rules, regulations and tax obligations that may apply to Your use of Leadmyevent, the Services, the Leadmyevent Content or the Member Content.




14 TERMINATION AND ACCOUNT CANCELLATION


14.1 We may terminate, deactivate or suspend a Member’s Account and access to Leadmyevent and/or the Service in the event of a material breach of these Terms by such Member and either that material breach is incapable of remedy or, if capable of remedy, that Member has failed to remedy such breach within thirty (30) days of notice from Us so to do.

 

14.2 Each Member may terminate its Account for any reason at any time following a 30 day written notice period to us, subject to the Member performing and discharging all of its current obligations under any Agreement then in force. We shall terminate the Account at such time as all Agreements in force at the time of the notice to terminate have been performed, or have expired or otherwise terminated. 

 

14.3 Upon termination of a Member’s Account under this clause 14, We will promptly pay such Member any amounts, which We are legally obligated to pay as at the date of termination.

 

14.4 Upon termination of a Member’s Account, We shall be entitled to retain a copy of all such Member Content as the same comprises that Member's prior Listings, Agreements and transactions. Furthermore, We may retain and make use of anonymised, aggregated information relating to the former Member and its Listings and any Agreements that Member has entered into through Leadmyevent.




15 INTELLECTUAL PROPERTY RIGHTS


15.1 We are the owner or the licensee of all intellectual property rights in and to Leadmyevent, the Platform and the Services and in the content, material and works published on or via it or them, including, without limitation, the Leadmyevent Content. Without limiting the generality of the foregoing, Leadmyevent and such content, material and works are protected by copyright laws and treaties around the world and, where applicable, database rights. 15.3 Our status (and that of any identified contributors) as the authors and owners of or licensors or licensees of rights in and to of content on Leadmyevent must always be acknowledged. You must not use any part of the content on Leadmyevent for commercial purposes without obtaining a licence to do so from us or Our licensors. If You copy or download any part of Leadmyevent in breach of these Terms, Your right to use Leadmyevent will cease immediately and You must, at Our option, return or destroy any copies of the materials You have made.



 

16 LEADMYEVENT CONTENT AND MEMBER CONTENT

 

16.1 Whilst We use Our reasonable endeavours to ensure that the Leadmyevent Content is accurate, complete and up-to-date, We do not warrant the accuracy or completeness of the Leadmyevent Content which is provided "as is" and "as available" and to the maximum extent permitted by law with no express or implied warranty of availability, accessibility, accuracy or completeness and without any other representations, warranties, conditions or other terms of any kind.

 

16.2 Member Content is made available to users and Members "as is" and "as available" and to the maximum extent permitted by law with no express or implied warranty of availability, accessibility, accuracy or completeness and without any other representations, warranties, conditions or other terms of any kind. We are not responsible and accept no liability for the accuracy or completeness of any Member Content including, without limitation, a Listing.

 

16.3 Members agree not to disclose to Leadmyevent, post or make available any Member Content or take any action on or via Leadmyevent, which infringes or violates the rights (including, but not limited to, intellectual property rights and in respect of breach of confidentiality or the Data Protection Legislation) of any third party or otherwise violates any applicable law. We reserve the right to remove or modify without notice any Member Content made available by a Member in breach of the foregoing.

 

16.4 Each Member agrees that their respective Member Content provided to us by a Member, posted on Leadmyevent and/or provided to other Members or users is and will be up-to-date, complete, truthful, accurate and not misleading.


16.5 The views expressed by users or Members of Leadmyevent do not represent Our views or values.


16.6 Members are solely responsible for securing and backing-up Your Member Content.

 

16.7 Subject to clause 6.4, Members may amend, update or withdraw a Listing at any time subject to any notice period enforced by a Subscription Plan.


16.8 Members grant to us a non-exclusive, transferable, royalty-free license, with the right to sub-licence and assign, to use, view, copy, adapt and modify its Member Content for the purposes anticipated in these Terms and in accordance with Our Privacy Policy. Without limiting the generality of the foregoing, We reserve the right to process the Member Content in an anonymised, aggregated form. Each Member warrants and represents that they have the necessary rights, licenses, consents and releases that are necessary to grant to us such rights and the making available of such Member Content.

 

16.9 Members agree not to upload or make available confidential information to us or other users or Members on or via Leadmyevent or the Services or otherwise. Any Member Content a Member makes available on or via Leadmyevent will be considered non-confidential and non-proprietary.

 

16.10 We reserve the right to remove or disable access to any Member Content that We, in Our sole and absolute discretion, consider to be objectionable for any reason, in violation of the Terms or any applicable law or is otherwise harmful or likely to be harmful or damaging to us, Leadmyevent, any Member, any User and/or any third party.


16.11 Each Member agrees to and shall defend, indemnify and hold harmless Leadmyevent against claims, actions, proceedings, losses, damages, expenses and costs (including court costs and reasonable legal fees and any administrative and management costs) arising out of or in connection with:


   16.11.1 the Member Content and its provision to and use on the Platform; or

   16.11.2 a breach by that Member of clause 16;

 

16.12 We will co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity or locate any person posting any material or otherwise acting in breach of the Terms, Our Acceptable Use Policy or acting in violation of any applicable law.

16.13 Service Suppliers agree that all pricing information and mechanism of calculation shall be compliant with applicable law including applicable consumer protection legislation.



17 MEMBER CONDUCT


17.1 In order to protect the legitimate business interests of Leadmyevent, each User and Member understands and agrees that You may not (nor will You attempt to or induce, advocate, encourage, procure or assist any third party to), whether directly or indirectly, use or attempt to use Leadmyevent or the Services to find or transact, interact or otherwise deal with any other Member or User with the intention of entering into a contract or arrangement with or completing or attempting to complete a booking, hire, rental, engagement or use of a Service or any other services offered or operated by a Service Supplier (including, where applicable, and without limitation, catering food and beverages, equipment hire, accommodation / bedrooms or other professional services) in such a way as to be independent of Leadmyevent or the Services in order to circumvent, or with the intention of circumventing the obligation to pay the Leadmyevent Commission.



17.2 In order to protect the legitimate business interests of Leadmyevent, Members and users agree that, by using Leadmyevent and Services to access Our information on available Services You shall not, without Our prior written agreement, for a period of 12 months from the date that You, whether directly or indirectly, access a Listing, make or attempt to make a booking, hire, rental, engagement or use of a Service associated with such Listing , in such a way as to be independent of Leadmyevent or the Services in order to circumvent, or with the intention of circumventing, the obligation of the Service to pay the Leadmyevent Commission. Event Organisers or event agents acting on behalf of their clients are forbidden from charging commission to Service Suppliers or other service providers discovered, enquired or booked through Leadmyevent, without Our prior written agreement for each case. The above restrictions apply if an Event Organiser makes or attempts to make a booking with any Service that sits under the same brand, ownership group, partnership or is in any way associated with the original Service associated with the applicable Listing.

 

17.3 In order to protect the legitimate business interests of Leadmyevent, Members agree that, by using Leadmyevent and Services to access Our information and receive introductions to Event Organisers through an enquiry or booking, directly or indirectly, after initially introduced to the Event Organiser by Leadmyevent, there is an obligation to pay the Leadmyevent Commission. The same applies if the Service Supplier makes or attempts to make a booking with any Event Organiser for any Service that sits under the same brand, ownership group, partnership or is in any way associated with the original Service that You received the enquiry about.

 

17.4 If a Member acts in breach of clauses 17.1, 17.2, or 17.3 the following terms shall apply:

      

       17.4.1 Leadmyevent shall be entitled to claim and such Member shall pay to Leadmyevent an

       amount two hundred percent (200%) of the notional Leadmyevent Commission that would have accrued and been payable to Leadmyevent had such Member used the Services within the Platform otherwise than in               breach of the above provisions. For the avoidance of doubt the notional Leadmyevent Commission shall be the higher of (a) the Total Booking Fee included in the original offer made by the Event Organiser, (b) the Total         Booking Fee quoted by the Service Supplier in a message (through the Platform messaging application, on email, in writing, over the phone or face to face), (c) the Total Booking Fee detailed in the Agreement, (d) the             Total Booking Fee provided by the Service Supplier or Event Organiser to the Leadmyevent team when they are required to review a cancellation request.


      17.4.2 the Member shall pay such amount on demand or Leadmyevent may deduct such amount from funds received on behalf of such Member.

 

       17.4.3 Each Member confirms that payment of such an amount is reasonable and proportionate to protect Leadmyevent's legitimate interest in adherence to these Terms and revenue generation.

 

17.5 We reserve the right to restrict Members from entering into an Agreement or other arrangement with, or transmit or attempt to transmit any payment of monies to or receive from Leadmyevent with another Member            whose Account is held or controlled by the same person or entity as themselves (or any subsidiary, parent, assignee, principal, agent, representative, trustee, officer, director or any of them) and We reserve the right to            make further 'customer due diligence' enquiries and/or implement further controls and monitoring systems with respect to relevant activities and transactions.




18 DATA PROTECTION

 

We will collect and process Your personal data in accordance with the Data Protection Legislation and Our Privacy Policy together with any applicable notices provided to You at the point of collection or as otherwise notified to You from time to time.


 

19 CHANGES TO OUR TERMS, THE PLATFORM AND THE SERVICES


19.1 We may revise these Terms at any time by amending this page. If We make changes to these Terms, We will post the revised Terms on the Platform and update the “Last Updated” date at the top of these Terms. Please take notice of any changes We make, since they are binding on you. Some of the provisions contained in the Terms may also be supplemented or superseded by specific notices published elsewhere on Leadmyevent or otherwise communicated to you. Where a substantial change to these Terms takes place, We will provide members with notice of the modifications by email at least 7 days before the date they become effective, unless You have opted out of receiving email communication from us. If You do not agree with the revised Terms, You must not use or attempt to use Leadmyevent or Services. If You continued access to or use the Platform after the effective date of any changes to these Terms, this will constitute acceptance of the revised Terms.

19.2 We may update Leadmyevent and/or Our Services from time to time, and may change the Leadmyevent Content at any time. However, please note that any of the content on Leadmyevent may be out of date at any given time, and We are under no obligation to update it.  

 

19.3 From time to time Leadmyevent may:

 

    19.3.1 modify the Platform (or any part of it) and/or the Services (or any part of them) by issuing updates; and

    19.3.2 make new features, functionality, applications or tools available in respect of the Services and/or the Platform, whose use may be subject to the Customer's acceptance of further terms and

    conditions,

    19.3.3. and shall give Members notice of material modifications to the Platform and/or the Services and any such new features, functionality, applications or tools.

 

19.4 Each Member agrees and accepts that Leadmyevent may review the activities of Members on or through the Platform (including interactions and communications between a Member and Leadmyevent and/or between a Member or User and another Member or user, including via the messaging application):

 

     19.4.1 in order to optimise the Platform and the Services and its and their functionality and accessibility;

     19.4.2 to identify new or enhanced product features and any associated requirements;

     19.4.3 establish the compliance or otherwise of Members with these Terms including under clauses 17.1, 17.2 or 17.3; and

     19.4.4 otherwise under the Privacy Notice

 

 

20 ACCESSING LEADMYEVENT

 

20.1 We do not guarantee that Leadmyevent or any content on it or the Services will always be available or be uninterrupted or error free. We will not be liable to You if for any reason Leadmyevent and/or any Services are unavailable at any time or for any period.

 

20.2 You are responsible for ensuring that all persons who access Leadmyevent through Your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.  

 

20.3 The Platform and Services are directed at people residing in the United Kingdom. We do not represent that content made available on or through Leadmyevent is appropriate or available in other locations. We may limit the availability of Leadmyevent or any Service or product described on Leadmyevent to any person or geographic area at any time. If You choose to access Leadmyevent from outside the United Kingdom, You do so at Your own risk.



21 PRIVACY

 

We process information about You in accordance with Our Privacy Policy. By using Leadmyevent and the Services, You consent to such processing and You warrant that all data provided by You is accurate, complete and up-to-date.



22 LINKS FROM THE PLATFORM

 

Where Leadmyevent contains links to other sites and resources provided by third parties, these links are provided for Your information only. We have no control over the content of those sites or resources, and We accept no responsibility for them or for any loss or damage that may arise from Your use of them.



23 GENERAL PROVISIONS

 

23.1 Matters beyond Our control: Leadmyevent shall have no liability to You under these Terms if We are prevented from or delayed in performing our obligations under these Terms, or from carrying on Our business, by acts, events, omissions or accidents beyond Our reasonable control, including, without limitation, strikes, lock-outs or other industrial disputes (whether involving Our workforce of the or any other party), failure of a utility service or transport or telecommunications network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or sub-contractors.

 

23.2 Waiver: No failure or delay by a party to exercise any right or remedy provided under these Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

 

23.3 Rights and remedies: Except as expressly provided in these Terms, the rights and remedies provided under these Terms are in addition to, and not exclusive of, any rights or remedies provided by law.  

 

23.4 Severance: If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of these Terms.

 

23.5 Assignment: Unless otherwise agreed in writing by Leadmyevent, no Member shall, without the prior written consent of Leadmyevent, assign, transfer, charge, sub-contract or deal in any other manner with all or any of its rights or obligations under these Terms. Leadmyevent may at any time assign, transfer, charge, sub-contract or deal in any other manner with all or any of its rights or obligations under these Terms.



23.6 No partnership or agency: Nothing in these Terms is intended to or shall operate to create a partnership between Leadmyevent and any person, or authorise any person to act as agent for the other, and no User or Member shall have the authority to act in the name or on behalf of or otherwise to bind Leadmyevent in any way (including, but not limited to, the making of any representation or warranty, the assumption of any obligation or liability and the exercise of any right or power).

 

23.7 Third party rights: These Terms do not confer any rights on any person or party (other than the parties to this agreement and, where applicable, their successors and permitted assigns) pursuant to the Contracts (Rights of Third Parties) Act 1999.



24 APPLICABLE LAW AND JURISDICTION


24.1 The English courts will have exclusive jurisdiction over any claim arising from or related to these Terms and any visit to Leadmyevent.


24.2 The Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.


24.3 In the event of any dispute, the case may be referred to Online Dispute Resolution Platform.

LEADMYEVENT ACCEPTABLE USE POLICY

 

1. This acceptable use policy sets out the terms between you and us under which you may access Leadmyevent. This acceptable use policy applies to all users and Members of, and visitors to, Leadmyevent.

 

2. Your use of Leadmyevent means that you accept, and agree to abide by, all the policies in this acceptable use policy, which supplement the Terms.

 

3. Prohibited uses

3.1. You may use Leadmyevent only for lawful purposes. You may not use Leadmyevent:

3.1.1. In any way that breaches any applicable local, national or international law or regulation.

3.1.2. In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

3.1.3. For the purpose of harming or attempting to harm any person in any way.

3.1.4. To send, knowingly receive, upload, download, use or re-use any material which does not comply with Our content standards as set out in the Terms or on Leadmyevent or otherwise notified to you from time to time.

3.1.5. To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

3.1.6. To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

 

3.2. You may not use any robot, spider, scraper or other automated means, software or system to access Leadmyevent or its content or use any data mining, data gathering or extraction method or any other automated means, software or system to access or extract data or content from Leadmyevent or any communications via or relating to Leadmyevent and/or its users and/or Members.

 

 

4. You also agree:

 

4.1. Not to reproduce, duplicate copy or re-sell any part of Leadmyevent in contravention of the provisions of the Terms.

 

4.2. Not to access without authority, interfere with, damage or disrupt:

4.2.1. any part of Leadmyevent;

 

4.3. any equipment or network on which Leadmyevent is stored;

 

4.4. any software used in the provision of Leadmyevent; or

 

4.5. any equipment or network or software owned or used by any third party.

 

 

5. Interactive services

 

5.1. We may from time to time provide interactive services on Leadmyevent, including, without limitation:

5.1.1. Ratings and reviews left by Members and guests, visitors or delegates about Venues and other Members.

5.1.2. Bulletinboards.

5.1.3. Blogs, including guest blogs

(“interactive services”).

 

5.2. Where we do provide any interactive service, we will provide clear information to you about the kind of service offered, if it is moderated and what form of moderation is used (including whether it is human or technical).

 

5.3. We will do our best to assess any possible risks for users from third parties when they use any interactive service provided on Leadmyevent, and we will decide in each case whether it is appropriate to use moderation of the relevant service (including what kind of moderation to use) in the light of those risks. However, We are under no obligation to oversee, monitor or moderate any interactive service We provide on Leadmyevent, and We expressly exclude liability for any loss or damage arising from the use of any interactive service by a user in contravention of Our content standards, whether the service is moderated or not.

 

5.4. The use of any of our interactive services by a minor is subject to the consent of their parent or guardian. We advise parents who permit their children to use an interactive service that it is important that they communicate with their children about their safety online, as moderation is not fool-proof. Minors who are using any interactive service should be made aware of the potential risks to them.

 

5.5. Where we do moderate an interactive service, we will normally provide you with a means of contacting the moderator, should a concern or difficulty arise.

 

 

6. Content standards

 

6.1. These content standards apply to any and all material which you contribute to Leadmyevent (“contributions”), and to any interactive services associated with it.

 

6.2. You must comply with the spirit and the letter of the following standards. The standards apply to each part of any contribution as well as to its whole.

 

6.3. Contributions must:

6.3.1. Be accurate (where they state facts).

6.3.2. Be genuinely held (where they state opinions).

6.3.3. Comply with applicable law in the UK and in any country from which they are posted.

 

6.4. Contributions must not:

6.4.1. Contain any material which is defamatory of any person.

6.4.2. Contain any material which is obscene, offensive, hateful or inflammatory.

6.4.3. Promote sexually explicit material.

6.4.4. Promote violence.

6.4.5. Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

6.4.6. Infringe any copyright, database right or trademark of any other person.

6.4.7. Be likely to deceive any person.

6.4.8. Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.

6.4.9. Promote any illegal activity.

6.4.10. Be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety.

6.4.11. Be likely to harass, upset, embarrass alarm or annoy any other person.

6.4.12. Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.

6.4.13. Give the impression that they emanate from us, if this is not the case.

6.4.14. Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement, computer misuse or money laundering.

 

 

 

7. Suspension and termination

 

7.1. We will determine, in our discretion, whether there has been a breach of this acceptable use policy through your use of Leadmyevent. When a breach of this policy has occurred, we may take such action as we deem appropriate.

 

7.2. Failure to comply with this acceptable use policy constitutes a material breach of the Terms, and may result in Our taking all or any of the following actions:

7.2.1. Immediate, temporary or permanent withdrawal of your right to use Leadmyevent.

7.2.2. Immediate, temporary or permanent removal of any posting or material uploaded by you to Leadmyevent.

7.2.3. Issue of a warning to you.

7.2.4. Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.

7.2.5. Further legal action against you.

7.2.6. Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

 

7.3. We exclude liability for actions taken in response to breaches of this acceptable use policy. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.
